These Terms of Service (“Terms”) govern your access to and use of the website inxpectai.site and any inspection, compliance, reporting or related services supplied by Inxpectai Pty Ltd (ABN ABN 72 702 520 741) (“we”, “us”, “our”). By accessing this website, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of this website and our services.

1. About Us

Inxpectai Pty Ltd is an Australian company based in Melbourne VIC, providing AI-powered inspection and compliance services, including property condition assessments, compliance reporting, defect identification support, and related advisory services. We are a registered Australian business operating under ABN ABN 72 702 520 741.

2. Our Services

The scope of any engagement will be set out in a written quote, proposal, or service agreement provided to you before work commences. We will perform our services with reasonable care and skill and in accordance with the agreed scope. Any services not expressly included in the agreed scope may be subject to a separate quote and additional fees.

3. Nature of AI-Assisted Outputs

Some of our reporting and analysis is supported by artificial intelligence and automated tools. While these tools assist with efficiency and consistency, all findings, conclusions and recommendations are reviewed by our personnel before delivery. Our reports are intended to support, not replace, your own professional judgement, due diligence, and any obligations you may have under legislation, Australian Standards, or regulatory frameworks. You remain responsible for determining how our outputs are used in your operations.

4. Quotes, Engagement and Payment

• Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated in writing.
• Acceptance of a quote, or confirmation of an engagement by email or signed agreement, constitutes acceptance of these Terms.
• Payment terms will be stated in the relevant quote or invoice. Unless otherwise agreed, invoices are payable within 14 days of issue.
• Late payments may attract reasonable administrative costs and, where permitted by law, interest on overdue amounts.

5. Your Obligations

You agree to provide accurate, complete and current information relevant to the engagement, including safe and reasonable site access where applicable, and to use our reports and deliverables only for the purposes for which they were prepared. You must not resell, sublicense, or publicly distribute our deliverables without our prior written consent.

6. Intellectual Property

All content on this website, including text, graphics, logos, and layout, and all methodologies, templates, software tools, and deliverables we produce, remain the intellectual property of Inxpectai Pty Ltd unless otherwise agreed in writing. Upon full payment, you receive a non-exclusive, non-transferable licence to use deliverables for their intended purpose.

7. Confidentiality and Privacy

We treat information obtained in the course of an engagement as confidential and handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). We will not disclose confidential information to third parties except where required by law or where necessary to deliver the agreed services.

8. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot be excluded, restricted or modified by agreement.

Where our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for breach of any consumer guarantee may, where permitted by law, be limited to one of the following (at our election): the supplying of the services again, or the payment of the cost of having the services supplied again.

9. Limitation of Liability

To the fullest extent permitted by law, and subject to section 8, we are not liable for indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or business opportunity, arising from your use of this website or our services. Our total aggregate liability for any claim arising out of or in connection with a particular engagement is limited to the fees paid by you for that engagement, except where such limitation is prohibited by law.

10. Indemnity

You agree to indemnify us against any claim, loss, or expense arising from your breach of these Terms, your misuse of our deliverables, or any information or access you provide that is inaccurate, incomplete, or unsafe.

11. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of notice. Upon termination, you remain liable for fees for services performed up to the date of termination, and clauses relating to intellectual property, confidentiality, liability, and governing law survive termination.

12. Website Availability

We aim to keep inxpectai.site available and accurate, but we do not warrant that the website will be uninterrupted, error-free, or free of harmful components. Website content is general information only and does not constitute professional advice for your specific circumstances.

13. Changes to These Terms

We may update these Terms from time to time. These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria and any courts with appellate jurisdiction from them.
